　　任務(wù)一 合同
　　一、指導(dǎo)內(nèi)容
　　通過(guò)實(shí)訓(xùn)，學(xué)生熟悉合同的形式和內(nèi)容，掌握合同各主要條款的制訂。合同是單證工作的基礎(chǔ)。各種單據(jù)和信用證都必須以合同為依據(jù)。
　　二、指導(dǎo)步驟及方法
　　合同的各組成部分：
　　1、約首。是指合同的序言部分，其中包括合同的名稱(chēng)、訂約雙方當(dāng)事人的名稱(chēng)和地址(要求寫(xiě)明全稱(chēng))。除此之外，在合同序言部分常常寫(xiě)明雙方訂立合同的意愿和執(zhí)行合同的保證。該序言對(duì)雙方均具約束力。因此，在規(guī)定該序言時(shí)，應(yīng)慎加考慮。
　　2、基本條款。這是合同的主體部分，具體列明各項(xiàng)交易的條件或條款，如品名、品質(zhì)規(guī)格、數(shù)量、單價(jià)、包裝、交貨時(shí)間與地點(diǎn)、運(yùn)輸與保險(xiǎn)條件、支付方式以及檢驗(yàn)、索賠、不可抗力和仲裁條款等。這些條款體現(xiàn)了雙方當(dāng)事人的權(quán)利和義務(wù)。
　　3、約尾。一般列明合同的份數(shù)，使用的文字及其效力，訂約的時(shí)間和地點(diǎn)及生效的時(shí)間。合同的訂約地點(diǎn)往往要涉及合同準(zhǔn)據(jù)法的問(wèn)題，因此要慎重對(duì)待。我國(guó)的出口合同的訂約地點(diǎn)一般都寫(xiě)在我國(guó)。有時(shí)，有的合同將“訂約時(shí)間和地點(diǎn)”在約首訂明。

Shipping advice (裝運(yùn)通知):
一旦裝運(yùn)完畢，賣(mài)方應(yīng)即電告買(mǎi)方合同號(hào)、商品號(hào)、已裝載數(shù)量、發(fā)票總金額、毛重、運(yùn)輸工具名稱(chēng)及啟運(yùn)日期等。 The sellers shall immediately, upon the completion of the loading of the goods, advise the buyers of the Contract No, names of commodity, loaded quantity, invoice values, gross weight, names of vessel and shipment date by TLX/FAX.
Inspection and Claims (檢驗(yàn)與索賠):
1.賣(mài)方在發(fā)貨前由 ___ 檢驗(yàn)機(jī)構(gòu)對(duì)貨物的品質(zhì)、規(guī)格和數(shù)量進(jìn)行檢驗(yàn)，并出具檢驗(yàn)證明書(shū)。 The buyers shall have the qualities, specifications, quantities of the goods carefully inspected by the ___ Inspection Authority, which shall issue Inspection Certificate before shipment. 2.貨物到達(dá)目的口岸后，買(mǎi)方可委托當(dāng)?shù)氐纳唐窓z驗(yàn)機(jī)構(gòu)對(duì)貨物進(jìn)行復(fù)檢。如果發(fā)現(xiàn)貨物有損壞、殘缺或規(guī)格、數(shù)量與合同規(guī)定不符，買(mǎi)方須于貨到目的口岸的 ___ 天內(nèi)憑 ___ 檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明書(shū)向賣(mài)方索賠。 The buyers have right to have the goods inspected by the local commodity inspection authority after the arrival of the goods at the port of destination if the goods are found damaged/short/their specifications and quantities not in compliance with that specified in the contract, the buyers shall lodge claims against the sellers based on the Inspection Certificate issued by the Commodity Inspection Authority within ___ days after the goods arrival at the destination. 3. 如買(mǎi)方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之起 __ 天內(nèi)提出；凡屬數(shù)量異議須于貨到目的口岸之日起 ___ 天內(nèi)提出。對(duì)所貨物所提任何異議應(yīng)由保險(xiǎn)公司、運(yùn)輸公司或郵遞機(jī)構(gòu)負(fù)責(zé)的，賣(mài)方不負(fù)任何責(zé)任。 The claims, if any regarding to the quality of the goods, shall be lodged within ___ days after arrival of the goods at the destination, if any regarding to the quantities of the goods, shall be lodged within ___ days after arrival of the goods at the destination. The sellers shall not take any responsibility if any claims concerning the shipping goods is up to the responsibility of Insurance Company/Transportation Company/Post Office.
Force Majeure (人力不可抗拒):
如因人力不可抗拒的原因造成本合同全部或部分不能履約，賣(mài)方概不負(fù)責(zé)但賣(mài)方應(yīng)將上述發(fā)生的情況及時(shí)通知買(mǎi)方。 The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure.But the sellers advise the buyers on time of such occurrence.
Disputes settlement (爭(zhēng)議之解決方式):
凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭(zhēng)執(zhí)，雙方應(yīng)協(xié)商解決。如果協(xié)商不能得到解決，應(yīng)提交仲裁。仲裁地點(diǎn)在被告方所在國(guó)內(nèi)，或者在雙方同意的第三國(guó)。仲裁裁決是終局的，對(duì)雙方都有約束力，仲裁費(fèi)用由敗訴方承擔(dān)。 All disputes in connection with this contract of the execution thereof shall be amicably settled through negotiation. In case no amicable settlement can be reached between the two parties, the case under dispute shall be submitted to arbitration, which shall be held in the country where the defendant resides, or in third country agreed by both parties. The decision of the arbitration shall be accepted as final and binding upon both parties. The Arbitration Fees shall be borne by the losing party.
Law application (法律適用):
本合同之簽訂地，或發(fā)生爭(zhēng)議時(shí)貨物所在地在中華人民共和國(guó)境內(nèi)或被訴人為中國(guó)法人的，適用中華人民共和國(guó)法律，除此規(guī)定外，適用《聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售公約》。 It will be governed by the law of the People's Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People's Republic of China or the defendant is Chinese legal person, otherwise it is governed by Untied Nations Convention on Contract for the International Sale of Goods. 本合同使用的價(jià)格術(shù)語(yǔ)系根據(jù)國(guó)際商會(huì)《Incoterms 1990》。 The terms in the contract based on INCOTERMS 1990 of the International Chamber of Commerce.
Versions (文字):
本合同中、英兩種文字具有同等法律效力，在文字解釋上，若有異議，以中文解釋為準(zhǔn)。 This contract is made out in both Chinese and English of which version is equally effective. Conflicts between these two languages arising therefrom, if any, shall be subject to Chinese version.
本合同共 ___ 份，自雙方代表簽字（蓋章）之日起生效。 This contract is in copies, effective since being singed/sealed by both parties.
